Service agreement and terms of use

1. Agreement to Terms
By accessing or using CYBRIAL's website and services, you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these Terms, you may not access our services. These Terms apply to all visitors, users, and clients of our services.
2. Services
CYBRIAL provides web design, development, digital strategy, and related services including but not limited to:
- WordPress and WooCommerce website development
- Shopify store design and development
- Custom stack development (Next.js, Strapi, etc.)
- Cloud-based CMC system design
- SEO optimization and strategy
- Conversion rate optimization and funnel design
- Brand identity and design services
- Cybrial Pulse AI marketing intelligence platform
3. Project Scope and Deliverables
Each project is governed by a Statement of Work (SOW) or Project Agreement that outlines specific deliverables, timelines, and costs. Changes to project scope must be agreed upon in writing and may result in additional fees and extended timelines.
4. Payment Terms
Project-Based Services
- A deposit (typically 50%) is required before work commences
- The remaining balance is due upon project completion or as outlined in the SOW
- Late payments may incur interest charges of 1.5% per month
- Projects may be paused or cancelled for non-payment
Recurring Services
- Monthly or annual subscriptions are billed in advance
- Cancellations require 30 days' written notice
- No refunds for partial months or early termination
5. Client Responsibilities
Clients are responsible for:
- Providing timely feedback, content, and materials
- Ensuring all provided content is legally compliant and authorized for use
- Maintaining access credentials for third-party platforms
- Timely payment of invoices
- Reviewing and approving deliverables within agreed timeframes
Delays caused by client non-compliance may result in extended timelines and additional charges.
6. Intellectual Property
Client-Owned Content
You retain ownership of all content, images, and materials you provide to us.
Deliverables
Upon full payment, you own the final deliverables (designs, code, content) created specifically for your project. CYBRIAL retains the right to use these works in our portfolio and marketing materials unless otherwise agreed.
Pre-Existing Materials
CYBRIAL retains ownership of any pre-existing frameworks, code libraries, design systems, or methodologies used in your project. You receive a license to use these materials as part of the delivered solution.
7. Warranties and Guarantees
We warrant that our services will be performed with reasonable skill and care. We do not guarantee specific results, rankings, traffic, or revenue outcomes. All services are provided "as is" without warranties of any kind, express or implied.
8. Support and Maintenance
Post-launch support and maintenance are provided as outlined in your service agreement. Additional support beyond the agreed scope may incur hourly or project-based fees. Emergency support requests may be subject to premium rates.
9. Limitation of Liability
CYBRIAL's total liability for any claims arising from our services shall not exceed the total amount paid by you for the specific service in question. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption.
10. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the course of our engagement. This obligation survives the termination of our agreement.
11. Termination
Either party may terminate services by providing written notice:
- For project-based work: 7 days' notice, with payment for work completed
- For recurring services: 30 days' notice
- Immediate termination for breach of terms, with no refund
12. Third-Party Services
We may recommend or integrate third-party services (hosting, plugins, APIs, etc.). You are responsible for compliance with third-party terms of service. CYBRIAL is not liable for third-party service failures or policy changes.
13. Indemnification
You agree to indemnify and hold CYBRIAL harmless from any claims, damages, or expenses arising from your use of our services, your content, or your breach of these Terms.
14. Dispute Resolution
Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to binding arbitration in Manchester, United Kingdom, under the rules of the UK Arbitration Act.
15. Force Majeure
CYBRIAL is not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, pandemics, internet outages, or third-party service disruptions.
16. Governing Law
These Terms are governed by the laws of England and Wales. You agree to submit to the exclusive jurisdiction of the courts located in Manchester, United Kingdom.
17. Changes to Terms
We reserve the right to modify these Terms at any time. Significant changes will be communicated via email or website notice. Continued use of our services after changes constitutes acceptance of the modified Terms.
18. Entire Agreement
These Terms, together with any SOW or Project Agreement, constitute the entire agreement between you and CYBRIAL regarding our services and supersede all prior agreements and understandings.
